Welcome to BizPanda (“BizPanda”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the BizPanda website, platform, applications, software, APIs, and services (collectively, the “Services”). By accessing or using BizPanda, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility and Account Registration

To use BizPanda, you must be at least 18 years old and have the legal authority to enter into binding agreements. By registering for an account, you represent and warrant that the information you provide is accurate, complete, and up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. BizPanda will not be liable for any loss or damage resulting from unauthorized access to your account.

2. Description of Services

BizPanda is an authorized WhatsApp Business API and CRM platform that enables businesses to send WhatsApp messages, manage customer conversations, automate workflows, integrate third-party tools, and analyze communication performance.

BizPanda does not guarantee specific business outcomes such as sales, leads, or revenue. Message delivery, engagement, and performance depend on multiple factors including WhatsApp policies, recipient behavior, and content compliance.

3. WhatsApp Policy Compliance

BizPanda operates using the official WhatsApp Business API and strictly follows WhatsApp’s policies, guidelines, and terms.

By using BizPanda, you agree to:

  • Send messages only to users who have provided valid consent or opt-in

  • Use approved message templates for outbound messaging

  • Avoid spam, misleading, illegal, or harmful content

  • Comply with WhatsApp’s Commerce, Messaging, and Business policies

BizPanda reserves the right to suspend or terminate accounts that violate WhatsApp policies or applicable laws.

4. User Responsibilities

You agree not to use BizPanda for:

  • Sending unsolicited or spam messages

  • Harassment, abuse, threats, or offensive content

  • Illegal, fraudulent, or deceptive activities

  • Infringement of intellectual property rights

  • Distribution of malware or harmful code

You are solely responsible for the content of messages sent through your account. BizPanda is not responsible for user-generated content or recipient responses.

5. Account Approval and Setup

WhatsApp Business API approval is subject to Meta/WhatsApp review and verification processes. BizPanda assists with setup and submission but does not control final approval decisions.

Approval timelines, limitations, messaging quality scores, and rate limits are determined by WhatsApp. BizPanda is not liable for delays, rejections, or restrictions imposed by WhatsApp.

6. Fees and Payments

Certain features of BizPanda require payment. Pricing details are provided on our website or through direct communication with our sales team.

All fees:

  • Are exclusive of applicable taxes

  • Are non-refundable unless explicitly stated otherwise

  • Must be paid on time to maintain uninterrupted access

BizPanda reserves the right to change pricing or billing terms with prior notice.

7. Third-Party Services and Integrations

BizPanda may integrate with third-party platforms such as CRM systems, Shopify, WordPress, payment gateways, or analytics tools.

BizPanda is not responsible for:

  • Third-party service availability or performance

  • Data accuracy from external platforms

  • Changes or disruptions caused by third-party providers

Your use of third-party services is subject to their respective terms and policies.

8. Data Privacy and Security

BizPanda takes data security seriously and implements reasonable technical and organizational measures to protect user data.

By using BizPanda, you agree that:

  • Customer data uploaded belongs to you

  • You have lawful rights to store and process such data

  • BizPanda may process data to provide Services

9. Intellectual Property Rights

All BizPanda content, software, branding, trademarks, designs, and intellectual property are owned by or licensed to BizPanda.

You are granted a limited, non-exclusive, non-transferable license to use the Services for business purposes. You may not copy, modify, distribute, reverse engineer, or exploit any part of the platform without written permission.

10. Suspension and Termination

BizPanda reserves the right to suspend or terminate your account at any time if:

  • You violate these Terms

  • You breach WhatsApp or Meta policies

  • Required payments are not made

  • Your activities pose legal, technical, or reputational risks

Upon termination, your access to the Services will be disabled, and data retention will follow our internal policies.

11. Service Availability and Limitations

BizPanda strives to provide reliable service but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or external outages may affect availability.

BizPanda is not responsible for downtime caused by:

  • WhatsApp or Meta infrastructure

  • Internet or hosting providers

  • Force majeure events

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.” BizPanda makes no warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, BizPanda shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.

BizPanda’s total liability shall not exceed the amount paid by you for the Services during the preceding three months.

14. Indemnification

You agree to indemnify and hold BizPanda harmless from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services

  • Your message content or campaigns

  • Violations of laws or policies

15. Changes to Terms

BizPanda may update these Terms from time to time. Updated Terms will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in India.
